These Terms of Use ("Terms") govern your access to and use of the websites, applications, and services operated by Modulagent LLC ("Modulagent," "we," "us," or "our"), including modulagent.ai and the Modulagent products listed below (collectively, the "Services"). By accessing or using any of the Services, you agree to these Terms.

If you do not agree to these Terms, do not use the Services.

Modulagent LLC is the parent company that operates the following products. These Terms apply to each of them. Product-specific notices, if any, are listed on the product site.

• DeskLine (deskline.ai). AI-powered virtual receptionist that answers, routes, and responds to calls and messages on behalf of a business.
• LearnIVO (learnivo.ai). AI-powered personalized learning platform that generates study plans, practice content, and progress tracking.
• TextMeAndGrow (textmeandgrow.com, textly.info, and published subdomains). SMS and WhatsApp service that lets small business owners update their website and Google Business Profile by texting our number 1-858-398-5975.

We may add, rename, or retire products from time to time. New products operated by Modulagent LLC are covered by these Terms unless they publish their own.

You must be at least 18 years old to use the Services. If you are using the Services on behalf of a business or other organization, you represent that you are authorized to bind that organization to these Terms.

You are responsible for keeping your login credentials secure, for keeping control of any phone number or email registered to your account, and for all activity that occurs under your account. Notify us promptly at security@modulagent.ai if you suspect unauthorized access.

Each Modulagent product has a specific purpose. In general:

• DeskLine receives calls or messages directed to your business line and responds based on the configuration and context you provide. It does not practice law, medicine, or any other licensed profession on your behalf.
• LearnIVO generates AI learning content and study plans based on topics and goals you specify. Outputs are suggestions for study; they are not professional advice, certifications, or guarantees of learning outcomes.
• TextMeAndGrow lets you send instructions by SMS or WhatsApp and, on your behalf, updates your website and Google Business Profile to reflect those instructions. We do not respond to your customers or operate as a customer support channel for your business.

AI-generated output from any Service may contain errors or omissions. You are responsible for reviewing output before relying on it for business, legal, financial, medical, or safety decisions.

Some Services offer a free trial. Trial length, features, and expiration behavior are described at signup and on the product site. For example, TextMeAndGrow publishes your site for up to 30 days on the free trial; if you do not subscribe by day 30, the site is unpublished, the subdomain is deleted, and personal information is soft-deleted, with hard deletion on day 37.

Subscription pricing, billing terms, and renewal behavior are presented at the time of purchase. Unless stated otherwise:

• Fees are billed in advance and are non-refundable except where required by law.
• You are responsible for applicable taxes.
• We may change pricing with at least 30 days' notice before your next renewal.

Several Modulagent products send or receive messages and calls. This section is important. Please read it carefully.

By providing your phone number to a Modulagent product or by messaging one of our numbers, you consent to receive SMS, MMS, WhatsApp messages, and automated or AI-generated voice calls from Modulagent related to your account and your use of the Services. This includes verification codes, confirmations of actions you requested, reminders, service alerts, security notices, and responses to your inquiries. This consent is a condition of using messaging-based features but is not a condition of purchasing anything unrelated.

Message frequency varies based on your usage. A typical account may receive a handful of messages per week; an active account may receive more.

Message and data rates may apply. Modulagent does not charge you separately for messages, but your mobile carrier may.

Reply HELP to any SMS from a Modulagent number for assistance, or contact support@modulagent.ai. Reply STOP to any SMS to unsubscribe at any time. After you reply STOP we will send one confirmation message and then stop sending non-emergency messages to that number. Opting out of SMS may limit or disable features that depend on messaging, such as TextMeAndGrow's core update mechanism.

Voice calls handled by DeskLine may be recorded and transcribed so the Service can respond, maintain logs, and improve quality. You are responsible for complying with recording laws that apply to you and your callers, including any required disclosures in two-party consent jurisdictions.

You agree not to use the Services to:

• Violate any law, regulation, or third-party right.
• Publish, transmit, or store content that is unlawful, deceptive, infringing, defamatory, hateful, sexually explicit, harassing, or that promotes violence or self-harm.
• Send spam, conduct phishing, distribute malware, or abuse our SMS, WhatsApp, voice, or email infrastructure.
• Send messages to recipients who have not consented to receive them, or who have opted out.
• Misrepresent the business or individual you operate on behalf of, or impersonate another business or person.
• Reverse engineer, scrape, or interfere with the Services, their security, their rate limits, or their AI models.
• Use the Services to build a competing product, to train a third-party model on Modulagent output, or to extract our prompts, system instructions, or model weights.
• Use the Services in connection with activities that are high-risk or regulated in a way the Services do not support, including safety-of-life systems, medical diagnosis, legal advice to end consumers, or automated trading.

We may rate-limit, suspend, or terminate accounts that violate these rules. We may also remove content that violates these Terms or the policies of a platform we publish to on your behalf (for example, Google Business Profile policies).

You retain ownership of the business information, text, photos, videos, recordings, and other content you send us or that is generated on your behalf at your direction ("Your Content").

You grant Modulagent a worldwide, non-exclusive, royalty-free license to host, store, reproduce, modify, create derivative works of, publish, and display Your Content solely to operate and provide the Services to you, including publishing to your website, your Google Business Profile, or other destinations you direct us to.

You represent that you own or have the rights to Your Content and that sending it to us and having us publish or process it does not violate any third-party right or applicable law.

We will not use Your Content to train general-purpose AI models. We may use aggregated and de-identified data derived from use of the Services to improve the Services and for analytics.

Output generated by the Services, including DeskLine call handling, LearnIVO study plans, and text suggestions from TextMeAndGrow, is produced by AI models and may be inaccurate, incomplete, or not suitable for a given purpose. Subject to your compliance with these Terms and payment of applicable fees, Modulagent assigns to you its rights, if any, in the output generated for you through the Services. You are responsible for reviewing output before publishing or acting on it.

Some Services rely on or connect to third-party platforms, including Google Business Profile, Google Workspace, calendar systems, payment processors, and carrier networks. When you connect a third-party account, you authorize Modulagent to read and write data on your behalf for the purposes of the Service. You may revoke this access at any time from the third-party platform's settings. Your use of a third-party platform is also governed by that platform's terms.

Modulagent uses service providers to run the Services, including Twilio (SMS, WhatsApp, voice, and phone-number lookup), Supabase and Lovable Cloud (database, auth, and storage), Cloudflare (hosting, CDN, and security), Google (Business Profile and workspace APIs you connect), and AI model providers we use to interpret and generate content. We are not responsible for outages, data loss, or actions of these providers that are beyond our control, but we will use commercially reasonable efforts to keep the Services running.

You may cancel at any time through the product's in-app controls, by texting "cancel" to a product that supports SMS, or by emailing support@modulagent.ai.

We may suspend or terminate your account if you violate these Terms, misuse the Services, create risk or legal exposure for Modulagent, or fail to pay.

On termination, we will stop providing the Services to you, unpublish content we published on your behalf, and delete your data according to the retention schedule in the Privacy Policy, except where retention is required for legal, security, or accounting purposes.

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, THAT AI OUTPUT WILL BE ACCURATE, OR THAT MESSAGES OR CALLS WILL BE DELIVERED WITHOUT DELAY OR LOSS.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MODULAGENT LLC AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, GOODWILL, OR DATA, ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICES WILL NOT EXCEED THE GREATER OF (A) THE FEES YOU PAID US FOR THE SERVICE GIVING RISE TO THE CLAIM IN THE 12 MONTHS PRECEDING THE EVENT, AND (B) US$100.

Some jurisdictions do not allow the exclusion of certain warranties or the limitation of certain damages; in those jurisdictions the limits above apply to the fullest extent permitted by law.

You agree to defend, indemnify, and hold harmless Modulagent LLC and its affiliates from any claim, loss, liability, damage, or expense, including reasonable attorneys' fees, arising from (a) Your Content, (b) your use of the Services, (c) your violation of these Terms or any applicable law, or (d) your 

violation of any third-party right.

These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict-of-laws rules. The state and federal courts located in Delaware have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Services, except that either party may seek injunctive relief in any court of competent jurisdiction.

If you are a consumer resident in a jurisdiction with mandatory consumer protections, nothing in this section overrides the protections that apply to you under local law.

We may update these Terms from time to time. Material changes will be announced by SMS to active users of messaging Services, by email to users with a verified email, or by a notice on the affected product site, and will be posted here with a new effective date. Continued use of the Services after changes take effect constitutes acceptance of the updated Terms.

These Terms, along with the Privacy Policy and any product-specific notices, are the entire agreement between you and Modulagent regarding the Services. If any provision is held unenforceable, the remaining provisions stay in effect. Our failure to enforce a provision is not a waiver of that provision. You may not assign these Terms without our written consent; we may assign them to an affiliate or in connection with a merger, acquisition, or sale of assets.
